Terms of Service

These Terms of Service ("Terms") govern your access to and use of OrderLink (the "Service"). By creating an account or using the Service, you agree to these Terms. If you are agreeing on behalf of a business, you confirm you have authority to bind that business.
1. The Service
OrderLink is a cloud-based order management service that lets wholesalers and their retail customers manage orders, delivery notes, and tax invoices online.
2. Accounts
- You must provide accurate information when creating an account and keep it up to date.
- You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
- You must be authorised to act on behalf of the business you register.
3. Free trial and subscription
- New wholesaler accounts receive a 30-day free trial. No payment method is required to start the trial.
- After the trial period, continued use of the Service requires an active paid subscription, billed monthly via Stripe.
- Subscription fees are exclusive of GST unless stated otherwise. GST will be added where applicable.
- You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period; we do not provide partial refunds for unused time within a billing period, except where required by law.
4. Your data and content
- You retain ownership of the business data you enter into the Service, including product catalogues, orders, and customer information ("Your Data").
- You are responsible for the accuracy of Your Data, including prices, GST rates, and business details shown on delivery notes and tax invoices.
- You grant us a licence to host, process, and display Your Data solely for the purpose of providing the Service to you.
5. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in breach of any applicable law or regulation.
- Attempt to access another business's data without authorisation.
- Interfere with or disrupt the integrity or performance of the Service.
- Reverse engineer, resell, or white-label the Service without our written consent.
6. Tax invoices and compliance
OrderLink helps generate delivery notes and tax invoices based on the information you provide (including your ABN and GST rates). You remain responsible for ensuring the accuracy of this information and for your own compliance with applicable tax laws, including obligations under GST legislation. OrderLink is not a substitute for professional accounting or tax advice.
7. Service availability
We aim to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. We may perform maintenance, and functionality may change over time as the Service is improved.
8. Suspension and termination
- We may suspend or terminate your access if you breach these Terms, fail to pay applicable fees, or if we reasonably believe your use of the Service poses a risk to us or other users.
- You may stop using the Service and close your account at any time.
- On termination, your right to use the Service ends. We may retain data for a reasonable period as described in our Privacy Policy.
9. Limitation of liability
To the maximum extent permitted by law, OrderLink is provided "as is" without warranties of any kind. We are not liable for indirect, incidental, or consequential loss arising from your use of the Service. Nothing in these Terms excludes rights you may have under the Australian Consumer Law that cannot lawfully be excluded.
10. Changes to these Terms
We may update these Terms from time to time. We will update the "Last updated" date above when we do. Continued use of the Service after changes take effect means you accept the updated Terms.
11. Governing law
These Terms are governed by the laws of Australia. Any disputes arising from these Terms or the Service will be subject to the jurisdiction of the Australian courts.
